Winsford, UK: Advanced Medical Solutions Group plc (AIM: AMS), the surgical and advanced woundcare specialist company, is pleased to announce that, as the next step in its communicated plan to refresh the Non-Executive Directors on the Board, Douglas Le Fort has today been appointed as an Independent Non-Executive Director.

 

Douglas is a seasoned veteran in the medical and life science industry, with more than 20 years of senior executive leadership. He has expertise in business strategy, including commercial business execution, operational management and M&A. He is currently an Operating Partner for Revival Healthcare Capital Partners, an investor in medical device and diagnostics businesses, as well as a Non-Executive Director at Trio Healthcare, a manufacturer of ostomy products. Most recently, he was CEO of MedTrade Products, a woundcare products business and prior to that served in various senior executive roles at ConvaTec Group plc, including five years on the Executive Committee for the Group. At ConvaTec he was Senior Vice President for Corporate Development, and prior to that Vice President and General Manager with P&L responsibility for the global Ostomy business. He has an MBA from Henley Management College and is a Chartered Management Accountant.

 

Peter Allen, Chairman of AMS, said: “I am very pleased to welcome Douglas to the Board of AMS, who brings with him significant commercial experience, particularly during his time at ConvaTec, as well as sector expertise. He will be an extremely valuable addition to our Board as AMS looks to grow.

AMS strengthens its senior leadership team with appointment of industry leader Chris Locke to newly created role of Chief Technology Officer

In this role Chris will take full responsibility for all innovation, research, development and technology assessments for the Group. He will be responsible for delivering the increasing pipeline of high value innovation projects within our expanding portfolio, as well as identifying external technology opportunities complementary to the business.

 

Chris joins AMS from Acelity, having spent 20 years as a senior manager within the $1.6 billion global KCI franchise, where he was instrumental in the development, creation and launch of their world-leading NPWT therapy range and other wound-care & surgical technologies. Most recently he was Acelity’s Chief Innovation Officer and prior to that held roles as Vice President, Research & Technology, Senior Director Global Innovation & Strategic Marketing, and Director, Engineering, Design & Technology. Chris is the named inventor on more than 500 US patent applications and 329 granted US patents.

He is a chartered accountant and was an investment banker for 18 years, focusing on global equity capital markets, M&A and corporate advisory. For the past 18 years, he has been a Non-Executive Director, most recently on the Boards of Horizon Discovery plc and Morphogenesis Inc, and Chairman of Sinclair Pharma plc.

Winsford, UK: Advanced Medical Solutions Group plc (AIM: AMS), the global medical technology company, today announces the appointment of Peter Allen as a Non-Executive Director effective from 4 December 2013. He will then become Non-Executive Chairman from 1 January 2014, replacing Dr. Don Evans who will retire from the Board on 31 December 2013.

 

Mr. Allen, aged 57, has extensive experience in the healthcare industry, having held key senior positions in a number of companies, playing a significant role in their development. This includes 12 years at Celltech Group plc (1992-2004) as CFO and Deputy CEO, 5 years as Chairman (since 2007) and interim CEO (2010-11) of ProStrakan Group plc, and 3 years as Chairman of Proximagen Neurosciences plc (2009-12). All of these companies, through a mix of organic growth, acquisitions and partnership agreements, saw significant increases in shareholder value during the periods in question.

 

Mr. Allen is currently Non-Executive Chairman of LSE listed Future plc and AIM listed Clinigen plc, as well as privately owned companies Chroma Therapeutics Limited and ProStrakan Group plc, although he will be stepping down as Non-Executive Chairman of the latter on 31 December 2013. Mr. Allen is also a Non-Executive Director of LSE listed Mecom plc, AIM listed Scancell plc and privately owned Oxford Nanopore Technologies Limited. He is a qualified chartered accountant.

Appointment of Non-Executive Director

 

Winsford, UK: Advanced Medical Solutions Group plc (AIM: AMS), the global medical technology company, today announces that Peter M. Steinmann will be appointed to the Board as a Non-Executive Director with effect from 1 July 2013.

 

Peter, aged 50, is a Swiss national with over twenty years’ commercial experience in Medical Devices and Diagnostics. He has held senior roles within Johnson and Johnson, Medtronic International and Boehringer Mannheim. Most recently, he was Regional Vice President Global Surgery and Shared Services, Medical Devices and Diagnostics, Austria, Switzerland and Germany at Johnson and Johnson AG, Switzerland as well as Chairman of that Board. Having worked throughout Europe and North America, Peter has extensive knowledge of the global medical devices market.

 

Peter is currently a Non-Executive Director of Navus GmbH and is a Board Observer with Orthimo AG.

Board Changes

 

Winsford, UK: Advanced Medical Solutions Group plc (AIM: AMS.L), the global medical technology company, today announces changes to its Board of Directors (the “Board”) that will take effect from 1 January 2011.

 

Chris Meredith, who was promoted to Chief Operating Officer in January 2010, is appointed Chief Executive Officer of the Company. Chris joined AMS in July 2005 as Group Commercial Director and was appointed Managing Director of Advanced Woundcare in 2008. Having been involved in the operational side of the business for over five years, the Board is confident that Chris is ably equipped to fulfil his new role.

 

Dr. Don Evans, Chief Executive Officer of the Company since January 2000, has indicated that he would like to step back from the day-to-day running of the business. The Board has considered a number of options and the non-conflicted members of the Board believe that the appointment of Don as Non-Executive Chairman is in the best interests of the Company and its shareholders, and ensures that AMS continues to benefit from Don’s extensive knowledge and experience of the business and the global medical devices market.

 

Dr. Geoffrey Vernon, who has served as a Non-Executive Director since July 1998 and Non-Executive Chairman of the Company since January 2001, will retire from the Board at the end of 2010. During his tenure, the Company has demonstrated strong, stable growth and has established itself as a competitive player in the global medical technology industry.

AMS advanced woundcare products are based on an extensive range of technologies including alginates, silver alginates and hydrophilic polyurethane foams. These and other products pioneer the concept of moist wound healing, allowing wounds to heal faster and with less pain and scarring. They protect the wound, deal with tissue fluids and provide an optimal environment for healing to occur. Silver is widely recognised as a safe and effective broad-spectrum anti-microbial agent for infection control.

 

AMS wound closure and sealants products are based on cyanoacrylate adhesive (“superglue”) technology developed for medical applications. Tissue adhesives offer significant benefits over conventional ways of closing wounds following trauma or surgical incision. They are simple to use, non-invasive, help to reduce the risk of infection, minimise trauma to the patient and provide good clinical and cosmetic outcomes. The technology is also ideally suited to protecting skin from breakdown or for use as a skin sealant to help prevent infection of surgical sites.

 

AMS employs 240 people in three locations (Winsford, Plymouth and the Netherlands). The business has an experienced management team, whose stated aim is to grow the business both organically and by exploring selective acquisition opportunities. The Board has announced its intention to recommend a maiden dividend for the year ended 31st December 2010.

Winsford, UK: Advanced Medical Solutions Group plc (AIM: AMS), the global medical technology company, today announces that Penelope Anne Freer has been appointed to the Board as Senior Independent Non-Executive Director with immediate effect.

 

Penny Freer, age 49, has worked in investment banking and investor relations for 25 years. From 2000 to 2004 she was Head of Equities in London for Robert W Baird, the US investment bank. Prior to this she held senior positions at Credit Lyonnais, with responsibility for small and mid-cap equities activities, and at NatWest Markets.

 

Penny is currently a non-executive director of Empresaria Group plc and Sinclair Pharma plc. She is also a director and co-founder of Capital Markets Group Limited.

Dealing Disclosure Requirements

 

Dealing Disclosure Requirements under the provisions of Rule 8.3 of the Code, require that if any person is, or becomes, “interested” (directly or indirectly) in 1% or more of any class of “relevant securities” of AMS, all “dealings” in any “relevant securities” of that company (including by means of an option in respect of, or a derivative referenced to, any such “relevant securities”), it must be publicly disclosed by no later than 3.30p.m. (London time) on the London business day following the date of the relevant transaction.
